Any marketing results (ROI, lead volume, conversions, etc.) are influenced by many variables, and no performance guarantees are made unless explicitly stated in writing.

  1. Client Responsibilities

Clients agree to:
• Provide accurate and timely information
• Supply necessary access credentials for ad accounts, websites, CRMs, and tools
• Review deliverables in a timely manner
• Maintain legal compliance for all content, data, and advertising

Refinity is not responsible for delays caused by missing access or client inaction.

  1. Payments

Unless otherwise stated:
• Payments are due according to the terms of the agreement
• Late payments may result in suspension of services
• All fees are non-refundable unless required by law

  1. Intellectual Property

6.1 Refinity’s IP

All creative assets, strategies, frameworks, documentation, and materials produced by Refinity remain our intellectual property unless assigned in writing.

6.2 Client IP

Client-provided materials (logos, brand assets, images, etc.) remain the property of the client.

  1. Limitation of Liability

To the fullest extent permitted by law, Refinity is not liable for:
• Lost revenue, profits, or business opportunities
• Indirect or consequential damages
• Platform outages, third-party tool failures, or algorithm changes
• Client-provided misconfigurations or access issues

Our total liability shall not exceed the amount paid for services in the last 60 days.

  1. No Guarantees

Marketing performance varies due to competition, budget, platform rules, seasonality, and external factors.
Refinity does not guarantee:
• Lead volume
• Conversion outcomes
• Ad platform approval
• Revenue increases

Results depend on many factors beyond our control.

  1. Termination

Either party may terminate service agreements according to the terms stated in the signed contract.
Refinity may terminate access to the website or services for violations of these Terms.

  1. Third-Party Tools

We may use third-party platforms such as:
• Google Ads
• Meta Ads
• TikTok Ads
• Analytics tools
• CRM and automation systems

These platforms have their own terms and policies.
Refinity is not liable for their changes, outages, limitations, or decisions.

  1. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflicts of law principles.

We may update these Terms at any time.
